1. Acceptance

By accessing nextforge.vc or submitting a pilot request, you agree to these Terms of Service on behalf of your organization. If you do not agree, do not use the platform. These terms are in addition to the Master Pilot Agreement, which governs individual pilot engagements.

2. The Platform

NextForge provides a marketplace connecting corporate buyers with vetted AI and technology startups for structured 90-day pilot programs. NextForge is not a party to the commercial relationship between Buyer and Startup except as described in the Master Pilot Agreement.

3. Accounts & Access

Account credentials are personal and non-transferable. You are responsible for all activity under your account. NextForge may suspend or terminate accounts that violate these terms, misuse the platform, or engage in fraudulent activity. Administrative accounts have additional access and carry additional responsibility.

4. Pilot Engagements

Each pilot is governed by the Master Pilot Agreement and the applicable Pilot Order. Pilot Fees are non-refundable once a pilot has been initiated (Kickoff Date reached). Scope changes require a written amendment to the Pilot Order. Buyers may walk away at the end of a pilot with no further obligations.

5. Prohibited Conduct

You may not: use the platform for any unlawful purpose; attempt to circumvent the platform to engage directly with a Startup outside the NextForge process; reverse-engineer or scrape platform data; upload malicious code or attempt to compromise platform security; misrepresent your organization’s identity or authority.

6. Intellectual Property

The NextForge name, logo, platform code, and Forge Index data are the exclusive property of PV Startup Studio, S.A.P.I. de C.V. Nothing in these terms grants you any right to use NextForge\’s intellectual property except as strictly necessary to use the platform.

7. Limitation of Liability

NextForge is not liable for the acts or omissions of Startups listed on the platform. Platform availability is provided on a best-effort basis. NextForge\’s total liability under these terms is limited to fees paid in the 3 months preceding the claim.

8. Governing Law

These Terms are governed by the laws of Mexico (Federal). Disputes are subject to the jurisdiction of the courts of Mexico City, Mexico, or arbitration under the Master Pilot Agreement where applicable.

9. Changes to These Terms

NextForge may update these Terms with 15 days notice. Continued use after the notice period constitutes acceptance. Questions: Contact us.
